Win a House (“WH”) Directory Submission is a service for competition organisers, webmasters, site owners, and marketing organizations to quickly have their site reviewed for inclusion in the WH Directory.

Acknowledgement and Acceptance of Service Agreement

The WH Directory Submission Service ("WH Directory Submission" or the "Service"), is provided to you under the terms and conditions of this WH Directory Submission Service Agreement (the "Agreement"). WH reserves the right, in its sole discretion, in the future, to change, modify, add or remove all or part of the Agreement at any time.

BY COMPLETING THE SERVICE REGISTRATION FORM AND CLICKING THE "SUBMIT" BUTTON, YOU REPRESENT AND WARRANT THAT YOU ARE 18 YEARS OF AGE OR OLDER, THAT YOU AGREE TO PROVIDE TRUE, ACCURATE, CURRENT AND COMPLETE INFORMATION, AND THAT YOU AGREE TO BE BOUND BY THIS AGREEMENT.

Description of WH Submission Service

WH Directory Submission is a fee-based service provided by WH to consider your site for inclusion in the WH Directory (the "Directory") as a Standard listing. INCLUSION IS NOT GUARANTEED. Subject to the terms below, if your site is accepted, then your site's continued inclusion in the Directory will be subject to additional review at that time and to the applicable NON-REFUNDABLE fee for the new period. By signing up with WH Directory Submission, WH will consider and respond to your request for inclusion in the Directory. In consideration of your payment and participation in WH Directory Submission in accordance with this Agreement, WH agrees that an editor will look at your site, consider it for inclusion in the Directory, and respond to you within three (3) business days from the date that you submit your site for consideration (excluding holiday periods observed by WH and any delays due to problems processing your request).

In order to ensure initial consideration for WH Directory Submission, you must submit a valid payment together with the details of your competition or web site. You agree to be charged the applicable NON-REFUNDABLE fee for initial consideration, reflecting your desired placement and the duration of its inclusion within the WH Directory. If your site is included, you agree that an additional fee will be payable once each initial period has elapsed, to ensure continued inclusion in the Directory. WH, however, reserves the right to remove your site if it fails to meet the minimum criteria below.

The current fee for WH Directory Submission for initial consideration in the Directory as a Standard listing is a NON-REFUNDABLE fee of £185.00 applicable for each new competition or site submitted (the “Standard listing fee”). This fee includes VAT where applicable. You acknowledge that the payment of this fee is for consideration of your site for inclusion up to six (6) months AND DOES NOT IN ANY WAY GUARANTEE THAT YOUR SITE WILL BE INCLUDED IN THE DIRECTORY. Your payment only guarantees that an editor will consider and respond to your request within three (3) business days, by either accepting or not accepting your site. You expressly agree to pay to WH such fee whether or not your site is accepted or denied inclusion.

If your site is accepted for inclusion and you wish to renew the listing for an additional six month period, you must submit your site for renewal up to one month prior to the expiry of the current listing period. Your site’s continued inclusion in the Directory will be subject to additional review by WH editors to ensure it continues to meet the terms of service. If you wish to renew your listing at that time, please login to your account and edit the relevant form to submit your site once again. In addition, you agree to submit the relevant Standard listing submission fee, together with any relevant Featured listing fee to request for our editors to review your site for a new six month period. If WH is unable to receive the agreed fees for inclusion, your site may be removed at the end of the initial six month period.

If you require a VAT invoice, please email us at Team@Win-House.co.uk providing us with your company name and address. If you are a VAT-registered company in another EU country, please also provide us with your VAT number (including the two-letter country prefix).

NOTHING IN THIS AGREEMENT OBLIGATES WH TO LIST, LINK TO, OR ACCEPT YOUR SITE ANYWHERE ON WH OR IN THE DIRECTORY. IF YOUR SITE IS ACCEPTED, NOTHING IN THIS AGREEMENT OBLIGATES WH TO PLACE YOUR SITE WITHIN A SPECIFIC CATEGORY, OR TO PROVIDE ANY SPECIFIC DESCRIPTIONS.

Do not submit your site to WH Directory Submission program if your site already appears in the Directory, unless you wish to submit a separate property competition featured on that site for inclusion. If you submit a site that already exists in the Directory, you will be charged the applicable fee for each inclusion. Nor should you submit change requests to the WH Directory Submission program. If you need to make a change to your listing in the Directory (this includes changing the URL, title, and/or description of the existing site), you must use the change form located in the login panel associated with your account. If you submit change requests through WH Directory Submission you will be charged the applicable initial consideration fee, and the changes you submit may not be made.

Featured directory listings

In addition to Standard listings, the WH Directory also includes Featured listings. Featured listings are given priority for review by WH editors ahead of Standard listings and are displayed more prominently within the directory and across the WH website. While Featured listings are intended to be more visible than Standard listings, you agree that the placement of Featured directory listings may vary at any time according to the requirements of WH editors.

If you wish to add a Featured listing in the Directory, please select the relevant option when submitting your site to the directory. In addition to the Standard listing fee, you will be asked to pay the additional Featured directory listing fee associated with your chosen option at the final payment stage.

Alternatively, you may upgrade your Standard listing to a Featured listing once your site has been approved by the WH editors. To do so, you must use the relevant form located in the login panel associated with your account and provide the relevant payment as instructed. Your listing will only be upgraded to a Featured listing once WH editors have once again reviewed your site and the relevant payment has been received. You may only upgrade your Standard listing to a Featured listing as long as it remains published within the WH Directory. If you wish to submit your site as a Featured listing after that time, you will first be required to submit your site once again to the WH Directory Submission service and pay the associated Standard listing fee, plus the Featured listing fee associated with your chosen option.

To request a Featured listing within the WH Directory, a further NON-REFUNDABLE fee of £55.00 is payable per month. Alternatively, users may request a Featured listing within the directory for a period of three (3) months for a NON-REFUNDABLE fee of £80.00. Users may otherwise request a Featured listing within the directory for a period of six (6) months for a NON-REFUNDABLE fee of £95.00. Each Featured listing fee quoted above includes VAT at 17.5% where applicable and is associated with its respective period (“the Featured listing period”).

Once the Featured listing period has elapsed, your listing will automatically return to being placed as a Standard listing, unless you apply and pay for a new Featured listing period. Your listing’s continued inclusion as a Featured listing in the Directory will be subject to additional review by our editors before appearing once again as a Featured listing. If WH is unable to receive the agreed fees within the relevant Featured listing period, your listing may return to being placed as a Standard listing.

If you request to upgrade your listing from a Standard to a Featured listing after your site has been approved by WH editors, you acknowledge you are responsible for choosing a Featured listing period that falls within the initial Standard listing period. If you submit payment for a Featured listing period that extends beyond the duration of your listing’s Standard listing period, please write to Team@Win-House.co.uk to request a refund for the extra time portion. You acknowledge that at its discretion; while it considers all reasonable requests, WH reserves the right to turn down such requests; WH retains full discretion in determining what reimbursement amount is applicable; and that any refunds may take up to one (1) calendar month after you have been informed by email it has been approved.

Minimum Site Criteria

All web sites submitted to WH Directory Submission must meet the following minimum criteria:

• The site must be up and running at all times; temporary suspension in service is acceptable as long as a clear explanation is provided to users;
• The site features at least one active property competition accepting entries within two weeks of submission;
• The site must not already appear in the Directory, unless it features other property competitions;
• The site must clearly define its purpose, products, and/or services;
• The site must clearly provide links to its competition terms and conditions;
• The site must clearly provide the contact details of the competition organisers;
• All links on the site must work;
• The site must not contain any content, products, services or other information that may be illegal to sell under any applicable law, that may infringe or violate anyone's rights, or that, WH believes, in its sole discretion, is offensive.

In addition, all sites featured in the WH Directory must continue to meet with the above minimum criteria throughout the listing period and are subject to regular review by WH editors to ensure compliance. You acknowledge that WH editors may, at their sole discretion, unpublish your site listing if it is deemed to no longer meet the above minimum criteria after changes have been made to the listing or its associated site.

Please note that the above listed are the minimum site criteria only, and WH editors use additional factors in deciding whether or not to accept your site for inclusion or maintain its ongoing site listed in the directory.

Selection and Listing of Competitions or Sites

WH reserves the right to decide whether, where, and how a site is listed. If WH accepts your site, WH reserves the right to list your site in any category or subcategory as WH deems appropriate, in its sole discretion. WH reserves the right not to include any specific keywords in the title or description of your site. WH also reserves the right, in its sole discretion, to remove your site from the Directory, move the listing to a different category or subcategory, and change or remove any keywords or images at any time, for any reason.

Google Maps

The WH Directory offers users access to map data and photographic imagery via Google Maps. This information is provided purely for indicative purposes and WH makes no representations or warranties regarding the accuracy or completeness of the information provided by Google Maps. WH also makes no representations or warranties regarding the accuracy or completeness of the address and postcode associated with the property presented in a listing entry and that is used to determine map data and photographic imagery using the Google Maps service. Use of the Google Maps service is subject to the Google Maps terms and conditions.

Feedback

WH will contact Applicant by email describing whether the site has been accepted or rejected. If the site is rejected, Applicant is entitled to request one appeal of the site at no additional charge by sending an email to the address provided by WH. WH must receive the Applicant's email within thirty (30) days from the date that WH transmits the rejection email to the Applicant. If the request is timely received, WH will again review the Applicant's site and will then notify Applicant of its final decision regarding including the site in the Directory. If WH reaffirms its denial of the site, no further appeals or submissions will be considered.

If WH accepts a suggested site, Applicant is entitled to request one reconsideration of the placement of the site, comment fields, title, etc, at no additional charge by sending an email to the address provided by WH. WH must receive the Applicant's email within thirty (30) days from the date that WH transmits the acceptance email to the Applicant. If the request is timely received, WH will again review the Applicant's site and will then notify Applicant of its final decision regarding the site. Once a site is included in the Directory, if Applicant makes any substantial changes to the site, Applicant is responsible to reflect any material changes in the site’s listing. Any changes must comply with WH's Submission Terms of Service and are subject to regular review by the WH editors on an ad hoc basis to ensure compliance.

Participation

If you wish to discontinue participation in the WH Directory Submission program, you must send a notice to WH as set forth in the Section, "Notices," below. Please state that you wish to withdraw your site from WH Directory Submission. Once WH receives such notification from you, your participation in the WH Directory Submission program will cease and your listing will be removed within a period of up to one week. If you request that your listing be removed before the end period for which you have pre-paid the Non-Refundable Fee, you agree that WH will not be required to refund any portion of such fee.

Applicant Privacy

WH maintains information about Applicant on WH servers, including but not limited to Applicant's registration information. Applicant agrees that WH may use such information in aggregate form for marketing or other promotional purposes. Applicant agrees that WH may disclose such information in the good faith belief that such action is reasonably necessary: (a) to comply with the law or legal process; (b) to enforce this Agreement; or (c) to protect the rights or interests of WH or others; provided, however, that nothing in this section shall impose a duty on WH to make any such disclosures. WH may contact Applicant regarding WH Directory Submission using the Applicant's email address provided during the registration process (or as updated by Applicant). Such email messages may contain opportunities regarding special offers and new products from WH advertisers.

Indemnity

THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER THIS AGREEMENT NOR ANY DOCUMENTATION FURNISHED UNDER IT IS INTENDED TO EXPRESS OR IMPLY ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF IMPLIED WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.

WH, AND ITS PARENTS, SUBSIDIARIES, EMPLOYEES AND AGENTS, SHALL NOT BE LIABLE, UNDER ANY CIRCUMSTANCES, FOR ANY LOSS OF BUSINESS, PROFITS OR GOODWILL, LOSS OF USE OR DATA, INTERRUPTION OF BUSINESS, OR FOR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER, EVEN IF WH IS AWARE OF THE RISK OF SUCH DAMAGES, THAT RESULT IN ANY WAY FROM APPLICANT'S USE OF OR INABILITY TO USE THIS SERVICE, WH'S ACCEPTANCE OR REJECTION OF A SUGGESTED COMPETITION OR SITE, OR WH'S CONTINUED LISTING OF A COMPETITION OR SITE IN THE DIRECTORY.

WH'S LIABILITY TO APPLICANT SHALL NOT, FOR ANY REASON, EXCEED THE AMOUNT ACTUALLY PAID BY APPLICANT TO WH UNDER THIS AGREEMENT.

Force Majeure

WH is not liable for any delay or failure in performance under the Agreement resulting directly or indirectly from acts of God, terrorism, or other causes beyond its reasonable control.

Notices

Any notices or communications under the Agreement shall be by electronic mail and shall be deemed delivered upon receipt to the party to whom such communication is directed, at the addresses specified below. If to WH, such notices shall be addressed to Team@Win-House.co.uk or to Full Circle Initiatives Ltd, 1-6 Clay Street, London W1U 6DA, United Kingdom. If to Applicant, such notices shall be addressed to the electronic or mailing address specified in Applicant's Service registration form, or such other address as either party may give the other by notice as provided in this Section. It is the Applicant's responsibility to provide an accurate address and to ensure that WH is notified of any changes to Applicant's address as specified in this Section.

Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the Service and supersedes all previous proposals, both oral and written, representations, writings and all other communications between the parties with respect to such subject matter.
